Terms & Conditions

These Terms and Conditions (“Terms”) govern your access to and use of the Trade90X platform, including the website at trade90x.com, the Trader OS application at app.trade90x.com, all related tools, content, and services (collectively, the “Service”), operated by Equinet Inc., a Wyoming corporation doing business as Trade90X (“Company,” “we,” “us,” or “our”).

By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 18 years of age and legally capable of entering into a binding agreement to use the Service. By using the Service, you represent and warrant that you meet these requirements.

2. Account Registration

To access certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information updated. You are solely responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must notify us immediately at hello@trade90x.com if you become aware of any unauthorized use of your account.

3. Description of Service

Trade90X is a behavioral audit, trade journaling, and execution improvement platform. The Service includes:

Trader Risk & Exposure Audit (behavioral diagnostic)
Trader OS (trade journal, morning check, emotion tracker, risk analyzer, weekly scorecard)
AI Operator Coach (AI-powered behavioral analysis based on your trading data)
Operator Toolkit (downloadable guides, frameworks, and protocols)
Community features (discussion channels, peer data sharing)
VIP Coaching add-on (1-on-1 coaching sessions)

IMPORTANT: Trade90X does not provide trading signals, investment advice, market predictions, strategy recommendations, or portfolio management. The Service is an execution and behavioral analysis tool only. See our Disclaimer for full details.

4. Subscription Plans and Billing

The Service is offered through subscription plans (Essential, Pro, and Elite) at the prices displayed on our pricing page at the time of purchase. Prices are subject to change, but changes will not affect your current billing cycle.

Subscriptions are billed monthly or annually, depending on your selection at checkout.
All fees are charged in U.S. dollars.
Monthly subscriptions renew automatically each month. Annual subscriptions renew automatically each year.
You may cancel your subscription at any time. Cancellation takes effect at the end of your current billing period. No prorated refunds are issued for partial billing periods.
VIP Coaching is billed monthly only and is not available on an annual basis. Coaching slots are limited and subject to availability.
We reserve the right to modify, suspend, or discontinue any plan or feature at any time with reasonable notice.

5. Free Tools and Starter Kit

Certain tools, including the Free Trader Exposure Check and the Starter Kit, are provided at no charge. We reserve the right to modify or discontinue free offerings at any time without notice. Free tools do not create any ongoing obligation on our part.

6. Refund Policy

We offer a money-back guarantee on all paid Trader OS subscriptions, subject to the windows below:

Monthly subscriptions: You may request a full refund of your initial payment within fourteen (14) days of the original transaction date.
Annual subscriptions: You may request a full refund of your initial payment within thirty (30) days of the original transaction date.
VIP Coaching: You may request a refund within seven (7) days of your initial payment, provided no coaching session has been delivered. Coaching sessions that have been delivered, including asynchronous video reviews, are non-refundable.

To request a refund, email hello@trade90x.com from the email address associated with your account, with the subject line "Refund Request." No forms, surveys, or explanations are required.

Refund requests received after the applicable window will be evaluated on a case-by-case basis at our sole discretion. Renewal payments (monthly or annual charges following the initial billing period) are non-refundable. You may cancel your subscription at any time to prevent future charges; cancellation takes effect at the end of your current billing period.

Approved refunds are processed to the original payment method within five (5) to ten (10) business days of approval. You retain access to all free tools (the Starter Kit, the Free 2-Minute Check, and any downloaded toolkit materials) regardless of refund status.

7. Acceptable Use

You agree not to:

Use the Service for any unlawful purpose or in violation of any applicable laws or regulations.
Share, resell, sublicense, or redistribute any part of the Service, including downloadable materials, audit results, or AI Coach outputs.
Attempt to reverse engineer, decompile, or extract source code from any part of the Service.
Use automated tools, bots, or scrapers to access the Service.
Interfere with or disrupt the integrity or performance of the Service.
Impersonate any person or entity or misrepresent your affiliation.
Share your account credentials with others or allow multiple individuals to access a single account.
Use the AI Coach outputs to provide financial advice to third parties.

8. Intellectual Property

All content, software, designs, text, graphics, logos, audit frameworks, scoring methodologies, AI Coach algorithms, downloadable documents, and other materials provided through the Service are the property of Equinet Inc. and are protected by U.S. and international copyright, trademark, and intellectual property laws.

Your subscription grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service and downloadable materials for your personal, non-commercial trading improvement purposes only. You may not copy, reproduce, distribute, sell, or create derivative works from any part of the Service without our prior written consent.

9. AI Coach Limitations

The AI Operator Coach provides behavioral analysis and pattern recognition based on the trading data you input. The AI Coach:

Does not provide trading signals, buy/sell recommendations, or market predictions.
Does not guarantee any specific trading outcome, profit, or performance improvement.
Relies entirely on the data you provide — inaccurate or incomplete data will produce inaccurate outputs.
Should not be relied upon as the sole basis for any trading decision.
Is not a substitute for a licensed financial advisor, broker, or investment professional.

10. User Data and Privacy

Your use of the Service is also governed by our Privacy Policy. By using the Service, you consent to the collection and use of your data as described in the Privacy Policy. You retain ownership of the trading data you input into the Service. We do not sell your personal data to third parties.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, EQUINET INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, TRADING LOSSES, LOSS OF DATA, OR BUSINESS INTERRUPTION, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SERVICE, REGARDLESS OF THE THEORY OF LIABILITY.

OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE TOTAL AMOUNT YOU HAVE PAID US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

YOU ACKNOWLEDGE THAT TRADING INVOLVES SUBSTANTIAL RISK OF LOSS AND THAT THE SERVICE DOES NOT GUARANTEE ANY TRADING RESULTS. YOU ARE SOLELY RESPONSIBLE FOR YOUR TRADING DECISIONS AND OUTCOMES.

12. Indemnification

You agree to indemnify, defend, and hold harmless Equinet Inc. and its officers, directors, employees, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney’s fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your trading decisions or outcomes; or (d) your violation of any third-party rights.

13. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

14. Termination

We reserve the right to suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice. Upon termination, your right to use the Service ceases immediately. Sections of these Terms that by their nature should survive termination shall survive, including but not limited to intellectual property, limitation of liability, indemnification, and governing law.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in Laramie County, Wyoming, and you consent to the personal jurisdiction of such courts.

16. Modifications to Terms

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you by email or by posting a notice on the Service. Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with the Privacy Policy and Disclaimer, constitute the entire agreement between you and Equinet Inc. regarding the Service and supersede all prior agreements, understandings, and communications.
